Please read these Terms and Conditions carefully before using the Prestige Luxe Club platform. By accessing or using our website and services, you agree to be bound by these terms. If you do not agree, please do not use our platform.

Prestige Luxe Club is operated by Ponytail Bill Pty Ltd (ABN: 35 696 554 239), a company registered in Victoria, Australia, trading as Prestige Luxe Club. Our registered address is 68 Clarke Street, Southbank, VIC 3006. For all legal and privacy enquiries, contact us at info@prestigeluxeclub.com.

Definitions

In these Terms and Conditions:

• “Platform” means the Prestige Luxe Club website located at prestigeluxeclub.com and all associated features and services.
• “Member” means any registered user of the Platform, including Club Members, Luxe Members, Prestige Members and Partner Members.
• “Listing” means any vehicle, property, watch, yacht, jet or other asset uploaded to the Platform for the purpose of sale, charter or enquiry.
• “Listing Fee” means the fee charged to upload a listing to the Platform.
• “Membership Fee” means the recurring fee charged for a paid membership tier.
• “We”, “us” or “our” refers to Ponytail Bill Pty Ltd trading as Prestige Luxe Club.
• “You” or “your” refers to the user or Member accessing the Platform.

Membership Tiers

3.1 Club Member

Club Membership is available at no recurring cost. Club Members may upload vehicle listings for a fee. Club Members have access to public listings only and do not receive member-exclusive benefits. Full platform access is unlocked only after the first paid listing is submitted.

3.2 Luxe Member

Luxe Membership is available at AUD $100 per month. Luxe Members receive the following benefits:

• VIP event invitations
• Exclusive member experiences
• Free transfer for private jet bookings
• Off-market access
• Access to members-only listings
• 25% discount on Club Member listing fees when uploading a listing

A minimum commitment of 6 months applies to monthly Luxe Memberships. Annual payment is also available. Members may cancel at any time after the sixth month of their membership term. Membership auto-renews monthly unless cancelled.

3.3 Prestige Member

Prestige Membership is available at AUD $200 per month. Prestige Members receive the following benefits:

• Priority global jet charter access
• Priority global yacht charter access
• Private watch sourcing
• Off-market access
• Member networking events
• Free transfer for private jet bookings
• Access to members-only listings
• VIP invitations
• 45% discount on Club Member listing fees when uploading a listing

A minimum commitment of 6 months applies to monthly Prestige Memberships. Annual payment is also available. Members may cancel at any time after the sixth month of their membership term. Membership auto-renews monthly unless cancelled.

3.4 Partner Member

Partner Membership provides access to the Platform for the purpose of uploading vehicle listings on a per-listing basis, with no recurring monthly subscription fee. Partner Members are charged the same listing fees as Club Members: AUD $450 per car listing and AUD $200 per motorbike listing. Partner Membership is designed for professional dealers and asset sellers who list vehicles regularly. Bulk listing pricing will be introduced as a separate offering in a future phase of the Platform. In the meantime, Partner Members may request bulk pricing via the contact us enquiry form.

Minimum Commitment and Cancellation Policy

Monthly paid memberships (Luxe and Prestige) are subject to a minimum commitment period of six (6) consecutive months from the date of sign-up. This means that if you sign up on a monthly plan, you are committing to a minimum of 6 monthly payments. During this minimum commitment period, you may not cancel your membership and your nominated payment method will continue to be charged each month. No refunds will be issued for any payments made during this period, regardless of usage.

After the sixth month, Members may cancel their membership at any time. Cancellation requests must be submitted via email to info@prestigeluxeclub.com. Upon cancellation, the Member will retain access to the Platform until the end of the current billing period. No partial refunds will be issued for unused days within a billing period.

Annual memberships are non-refundable once payment has been made.

We reserve the right to cancel or suspend a membership at any time if a Member is found to be in breach of these Terms and Conditions. In such cases, no refund will be issued.

Listing Fees

The following listing fees apply for vehicle listings submitted to the Platform:

Club Member and Partner Member rates (base rates):

• Car listing: AUD $450 per listing
• Motorbike listing: AUD $200 per listing

Luxe Members receive a 25% discount on the above base rates when uploading a listing.

Prestige Members receive a 45% discount on the above base rates when uploading a listing.

Listing fees are charged at the time of submission and are non-refundable once a listing has been submitted and approved. Listing fees cover the cost of publishing a listing on the Platform until the asset is sold or the listing is removed by the Member.

Listing functionality is currently available for Cars and Motorbikes only. Additional pillars may be introduced in future phases.

Listing Standards and Approval

All listings submitted to the Platform are subject to manual review and approval by the Prestige Luxe Club team before they are published. We reserve the right to reject any listing that does not meet our quality standards, contains inaccurate information, or is otherwise unsuitable for the Platform.

By submitting a listing, you confirm that:

• You are the owner of the asset or are authorised to list it on behalf of the owner.
• All information provided is accurate, complete and not misleading.
• The asset meets the standard expected of the Prestige Luxe Club platform.
• You hold all necessary rights to the images and content submitted.

Listing fees are not refunded if a listing is rejected on quality grounds.

Member Conduct

Members agree to use the Platform in good faith and in accordance with these Terms. Members must not:

• Submit false, misleading or fraudulent listings.
• Misrepresent themselves or their assets.
• Use the Platform for any unlawful purpose.
• Attempt to circumvent the Platform’s inquiry or payment systems by dealing directly with buyers or sellers outside of the Platform in bad faith.
• Share their account credentials with any third party.

We reserve the right to terminate the account of any Member who breaches these conditions without notice or refund.

Inquiries and Communications

All inquiries submitted through the Platform are directed to Prestige Luxe Club at info@prestigeluxeclub.com. Prestige Luxe Club reserves the right to screen and manage all inquiries before forwarding them to the relevant seller or partner. We do not guarantee response times for inquiries.

Payments and Billing

All payments on the Platform are processed securely through Stripe. Prestige Luxe Club does not store any payment card details on its servers. By making a payment on the Platform, you agree to Stripe’s terms of service, available at stripe.com/au/legal.

Monthly memberships are billed on the same date each month from the date of sign-up. Annual memberships are billed once per year. In the event of a failed payment, access to membership benefits may be suspended until payment is resolved.

Availability of the Platform

We endeavour to keep the Platform available at all times but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, technical issues or circumstances beyond our control. We accept no liability for losses arising from Platform downtime.

Intellectual Property

All content on the Platform, including the Prestige Luxe Club name, logo, design, text and imagery created by us, is the intellectual property of Ponytail Bill Pty Ltd and may not be reproduced, distributed or used without our prior written consent.

By submitting content (including images and descriptions) to the Platform, you grant Prestige Luxe Club a non-exclusive, royalty-free licence to use that content for the purpose of displaying your listing and promoting the Platform.

Limitation of Liability

To the fullest extent permitted by Australian law, Prestige Luxe Club and Ponytail Bill Pty Ltd are not liable for:

• Any loss or damage arising from your use of the Platform.
• The accuracy or completeness of any listing or content submitted by Members.
• Any transaction entered into between a buyer and seller facilitated through the Platform.
• Any loss of data, revenue or opportunity arising from Platform unavailability.

Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.

Governing Law

These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

Changes to These Terms

We may update these Terms and Conditions from time to time. We will notify Members of material changes via email. Your continued use of the Platform following notification of changes constitutes your acceptance of the updated Terms.
